SuccessCo125 Affiliate Terms and Conditions
These Terms and Conditions ("Terms") govern your participation in the Affiliate MLM program offered by SuccessCo 125 (Pty) Ltd trading as SuccessCo. By registering as an Affiliate, you confirm that you have read, understood, and agree to be bound by these Terms, in addition to the Subscriber Terms and Conditions.
1. Definitions
- Subscriber: A customer who purchases the 30GB data subscription but does not participate in the affiliate program.
- Affiliate: A Subscriber who has opted in, paid the affiliate registration fee, and has a unique and active affiliate ID.
- Sponsor: An Affiliate who introduces new Subscribers or Affiliates using their affiliate link or affiliate number.
- Downline: The network of Subscribers and Affiliates introduced under an Affiliate within the MLM structure.
- Active Subscriber: A Subscriber with a paid-up, non-suspended, non-cancelled subscription for the relevant month.
2. Nature of the Affiliate Programme
- The programme is optional, independent, and performance-based.
- Affiliate status is not employment and does not create a partnership, agency, or joint venture.
- No income is guaranteed; earnings depend on effort, retention, and compliance with rules.
- Purchasing the product does not automatically make you an Affiliate, and no Subscriber is required to recruit.
- You must declare your income and pay your own tax.
3. Eligibility and Registration
- To become an Affiliate, you must be an active Subscriber, register separately, pay the once-off affiliate registration fee of R120.00 (incl. VAT), and accept these Terms.
- The affiliate registration fee is once-off, non-refundable, and is not shared with any other Affiliate.
- On successful registration, you receive a unique affiliate ID and affiliate link.
- All Affiliate registrations must occur via an affiliate link; no manual or retrospective sponsor assignment is permitted.
- An individual or legal entity may not hold more than one Affiliate account. Multiple SIM subscriptions may exist under one account.
4. Product and Pricing
- The core product is the 30GB Telkom data subscription at R285.00 per month (R9.50 per GB).
- A SIM activation fee of R99.00 applies per SIM card.
- Affiliates must remain active, paying Subscribers to stay commission-eligible.
- The Telkom offer applies to new SIM activations only and does not support number porting.
5. Commission Structure
- Commissions are earned only from active, paid-up subscriptions, not from affiliate sign-up fees.
- Levels: Level 1: R25 per active SIM (R50 with growth bonus), Level 2: R20, Level 3: R15, Level 4: R10, Level 5: R5.
- Commissions are calculated monthly and paid in the first week of the following month.
- Eligible Affiliates may request early payout via dashboard at a cost of R25.00 per request.
6. Growth Bonus (Net Base +3)
- Net growth = New Level 1 activations minus Level 1 cancellations/churn for the month.
- If net growth is +3 or more, Level 1 commission is doubled to R50 per active SIM for that month only.
- During year one, the requirement is reduced to plus one.
- The bonus applies only to the qualifying month and does not carry forward.
7. Level Qualification Rules
- Level 2 requires at least 2 Level 2 Affiliates who each sponsored at least 1 person.
- Level 3 requires at least 3 Level 3 Affiliates who each sponsored at least 1 person.
- Level 4 requires at least 4 Level 4 Affiliates who each sponsored at least 1 person.
- Level 5 requires at least 5 Level 5 Affiliates who each sponsored at least 1 person.
- During year one, qualification for each level is reduced to 2 Affiliates per level.
- If criteria are not met, no commissions are earned on that level for that month.
8. Administrative Fee for Profitable Affiliates
Once monthly commissions exceed one subscription value, a R12.00 monthly administrative fee applies. This covers hosted webpage access, reports, statements, commission breakdowns, invoices, downline analytics, support, and infrastructure maintenance. The fee is automatically deducted when invoiced by the system.
9. Payment Conditions
- Your own subscription must be paid and active to remain commission-eligible.
- No commissions are paid on unpaid, suspended, or cancelled lines.
- If a Subscriber in your structure cancels or is suspended, related commissions fall away automatically.
- SuccessCo may withhold or reverse commissions arising from error, abuse, fraud, or system corrections.
10. Marketing and Conduct Rules
- You may use only approved marketing materials and your assigned affiliate link.
- You may not make income guarantees, misrepresent product/service details, use spam or deceptive marketing, present yourself as an employee/agent, or sell/transfer your account (except by valid will under section 17).
- SuccessCo may suspend or terminate accounts for misconduct, misrepresentation, or non-compliance.
11. No Guarantee of Income
There is no guarantee of income as an Affiliate. Results depend on your effort, skill, marketing activity, and customer retention. Any earnings examples are illustrative only and not promises.
12. Termination
- You may terminate Affiliate status at any time via dashboard.
- SuccessCo may suspend/terminate your account for breach of Terms, fraud/abuse/misconduct, inactivity, or legal/network-operator requirements.
- On termination, unpaid commissions are forfeited and dashboard/tool access is removed.
13. Limitation of Liability
To the maximum extent permitted by law, SuccessCo is not liable for direct or indirect loss, including loss of income, profits, data, or business opportunity arising from participation in the Affiliate Programme. If SuccessCo is found liable, liability is limited to commissions paid in the preceding one month.
14. Indemnity
You agree to indemnify and hold harmless SuccessCo, its directors, employees, and agents against claims, damages, or losses arising from your marketing activities, breach of Terms, or unlawful/misleading representations.
15. Changes to the Programme
SuccessCo may amend the Affiliate Programme, commission structure, fees, or these Terms. Changes are communicated via website, dashboard, or email. Continued participation after updates constitutes acceptance.
16. Governing Law and Disputes
These Terms are governed by the laws of the Republic of South Africa. For disputes, the matter must first be submitted in writing to the Compliance Department for internal resolution. If unresolved, both parties agree to arbitration in the Western Cape, South Africa, in accordance with expedited AFSA rules, and the arbitrator's decision is final.
17. Death of an Affiliate
- Commissions earned and due for the month of death are held and paid to the estate, subject to legal documentation.
- Unless position rights are validly bequeathed and accepted by SuccessCo, future income stream and commission rights cease and accrue to SuccessCo.
- Any successor/beneficiary must comply with registration, compliance, payment, and qualification requirements within 60 days before transfer or continuation is recognized.
- SuccessCo may suspend commissions and account access pending verification and estate/succession finalization.
18. One Affiliate Account Per Person
- An Affiliate may not be registered more than once directly or indirectly, and may not operate multiple accounts under different names/entities/identities.
- Any attempt to do so is a material breach and may result in suspension/termination of related accounts and forfeiture of unpaid/future commissions.
- Multiple SIM cards/subscriptions are allowed within a single account, and commissions are calculated accordingly.
19. Entire Agreement
These Terms, together with the Subscriber Terms and Conditions, constitute the entire agreement between you and SuccessCo regarding the Affiliate Programme.
Additional Compliance Rules
- No Spam: No unsolicited bulk email, SMS, or social media messaging.
- Social Media: Use approved ads and do not claim earnings above your own previous month's earnings.
- No Misrepresentation: No "get rich quick" language, no promises of luxury items, and no guaranteed income claims outside the official Income Disclosure Statement.
- Domain Names: Do not register domains that include similarities to the company name.
- Cross-Recruiting: Recruiting Affiliates already in another downline is prohibited and can result in immediate termination.
